Confirmation Statement
Once every 12 months, filed by the review date
The yearly Companies House check, done properly.
The confirmation statement that confirms your company's details are still correct, filed with Companies House once every twelve months. Shareholder records, share capital, SIC code, registered office and people with significant control are all reviewed before it is signed off.
What's included
- Shareholder and share-capital records reviewed
- Registered office and SAIL address checked
- SIC code and principal activities reviewed
- People with significant control register updated
- Filed with Companies House, with the confirmation receipt kept
- A reminder set ahead of the review date each year
Good to know
- The review period lasts 12 months and the statement must be filed within 14 days of the review date.
- Companies House charges a filing fee for the statement; it is shown separately from the service fee.
Common questions
- What happens if it is filed late?
- Filing late is an offence in the UK and can lead to fines and, ultimately, the company being dissolved, so the review date is treated as a fixed deadline.
- Does it replace the annual accounts?
- No. The confirmation statement only confirms company details; annual accounts are a separate filing with their own deadline.
